Good morning. Penske is preparing for a future off the stock exchange, while the latest inventory report offers a closer look at what is actually sitting on dealer lots. (Penske; Cox Automotive) We’ll unpack both, then turn to a Florida dealership’s proposed retirement-plan settlement and the recall checks worth making before the weekend. Let’s get into it.
THE BIG PICTURE
Penske plans its exit from Wall Street
Penske Automotive Group has signed a deal to go private, with outside shareholders set to receive $212 per share in cash if the transaction closes. The October 15 agreement values the business at approximately $16.3 billion including debt, with Penske Corporation and Mitsui expected to own roughly 64% and 36%, respectively, afterward. (Company announcement)
That is a signed merger agreement, not a completed acquisition. Penske expects a first-quarter 2027 closing, subject to regulatory clearance and shareholder approvals, including a majority of votes cast by unaffiliated shareholders; the agreement has no financing condition. (Transaction terms) The distinction matters more than the headline: the ownership change still has conditions to clear.
An independent, disinterested board committee unanimously recommended the transaction, and the board approved it; the shares would leave the New York Stock Exchange after closing. (Approval process) For dealer owners, this is a major ownership story, not a ready-made valuation for the store down the street.
Keep the enterprise-value figure separate from the cash price paid for an individual rooftop. Franchise mix, property, debt and operating performance belong in that comparison; a group-level headline cannot do the appraisal.
The next checkpoint comes before closing: Penske plans to release third-quarter results October 28, but will not hold its usual earnings call because of the announced transaction. (Reporting plans)
AT THE DESK
The model-year changeover is taking its time
A different market at each price point September 2026 · National new-vehicle days’ supply at month end Under $30,000: 63 days Above $80,000: 111 days
Shared zero-to-120-day scale. National data, not Florida allocations. |
Original Morning Drive graphic. September-end national new-vehicle supply. Cox Automotive, October 15.
Cox Automotive’s October 15 report puts September-end new-vehicle supply at 82 days, up from 75 in August but below 87 a year earlier. (National inventory report) The more useful detail for the desk may be the model-year mix.
Model-year 2027 vehicles represented 22.4% of inventory, versus 12.4% in August; at the comparable point last year, the incoming model year held 38.3%. (Cox model-year findings) In other words, the changeover is running behind last year’s pace, not standing still.
Price bands tell another story: vehicles below $30,000 had 63 days’ supply, compared with 111 days above $80,000. (Cox price-band findings) These are national figures, not Florida allocations. Use them to sharpen the comparison between outgoing and incoming models, rather than assuming every leftover needs the same discount.

CASE WATCH
A retirement-plan switch lands in court
Rick Case Enterprises has proposed a $209,000 settlement in a Florida federal lawsuit over a 401(k) provider transition, according to Bloomberg Law’s October 15 reporting on the proposal announced in court October 14. The proposed relief covers approximately 111 current and former participants; it is not a final court-approved settlement. (Bloomberg Law)
The November 7, 2025 complaint in the Southern District of Florida alleged that participants lost retirement savings during the transition between providers. Those are allegations, not findings of misconduct. (Original complaint)
The management takeaway reaches beyond HR: treat a retirement-plan conversion as a financial-control project. Assign responsibility for reconciling balances, documenting adjustments and getting clear answers to participants, with the plan’s advisers involved before discrepancies become a dispute.
SERVICE LANE
A park-outside instruction worth checking today
An October 8 recall filing covers 94,622 potentially affected 2015–16 Hyundai Genesis and 2017–20 Genesis G80 sedans. A damaged or displaced power-seat switch can keep the seat motor energized and create a fire risk, including while parked. (NHTSA filing, 26V664)
The manufacturer advises parking affected vehicles outdoors, away from other vehicles or structures, until repaired; the remedy was still under development in the filing. (Recall instructions) This is an earlier filing with an immediate lot-management implication, not a new recall announced overnight.
Check the VINs of relevant trades and service vehicles rather than assuming every sedan in those model years is affected. Keep the parking instruction separate from a repair appointment: identifying the recall does not mean the remedy is ready.
QUICK READS
- Land Cruiser fuel-leak recall: Toyota’s October 14 announcement covers approximately 106,000 U.S. model-year 2024–27 Land Cruisers because a fuel-tube connection can disconnect and leak, creating a fire risk near an ignition source; dealers will inspect and install a clamp or replace the tube and add a clamp, with owner notices planned by mid-December. (Toyota announcement)
- United Auto Workers election result confirmed: Reuters reported October 14 that the federal monitor’s official results confirmed Shawn Fain’s reelection; that leadership result should not be confused with a new strike announcement or a confirmed production interruption. (Reuters)
